博士智庫數字經濟生態聯盟章程
第一章:總則
第一條(名稱與性質)
本組織中文名稱為博士智庫數字經濟生態聯盟 (英文名稱:DIGITAL ECONOMY ECOSYSTEM ALLIANCE- Doctors Think Tank,簡稱“DEEA-DTT”)
本聯盟為一全球性、由會員驅動的平台組織,旨在通過協作與標準化,推動數字經濟生態發展。
第二條(宗旨與使命)
本聯盟之宗旨在於匯聚全球頂尖智慧,建構一個安全、高效、透明且包容的全球數字經濟生態系統。作為連接器、賦能器和標準制定者,為會員提供舞臺、工具與規則,使其能更高效、合規地提供服務並創造價值,最終釋放數字經濟之巨大潛能,促進全球經濟之創新與普惠金融發展。
第三條(核心原則)
1. 開放性與協作性: 歡迎全球符合資格的多元主體參與。
2. 公平與公正性: 聯盟 對會員保持公平公正。
3. 合規先行: 積極推動數字經濟合規框架與落地。
4. 會員驅動: 聯盟的發展方向與重點由會員共同推動。
5. 知識共享: 核心研究成果, 標準框架公佈及重要資訊及技術轉載,促進生態繁榮。
第二章:組織架構與職責
本聯盟架構設計為四層模型,以實現有效治理與生態賦能。
第四條(治理層 – Governance Layer)
本層為聯盟之決策與監督機構。
- 本聯盟最終決策權 是博士智庫研究院董事會, 章程修改, 決議重大事項。
- 聯盟理事會: 由創始會員、學術領袖、獨立專家及會員代表組成,負責制定發展戰略、批准預算及、監督秘書處工作, 經過博士智庫研究院董事會審核通過
2. 顧問委員會: 下設「合規與監管」、「技術標準」、「金融市場」等專業委員會,由全球頂尖專家組成,提供專業諮詢並代表聯盟與全球監管機構進行對話。
3. 秘書處: 為聯盟常設執行機構,負責日常行政管理、財務管理、會員服務、會議組織、對外溝通及執行理事會決議。
第五條(核心平台層 – Core Platform Layer)
本層為聯盟賦能會員之核心,負責產出公共產品與建立信任體系。
1. 智庫研究院: 負責產出白皮書、行業報告、技術標準框架(智能合約安全標準、數據接口標準)、合規最佳實踐指南及針對不同數字經濟資產類別的標準化估值模型庫。
2. 認證與標準化中心: 負責建立並管理會員資質認證體系、技術與合規解決方案認證體系,並提供標準化的項目盡職調查框架,以降低生態信任成本。
第六條(生態服務層 – Ecosystem Services Layer)
本層為會員提供服務與被服務之市場平台,聯盟搭建框架,具體交易由會員間自主完成。
1. 服務提供商目錄: 建立並維護一個經聯盟認證的線上目錄,分類展示會員提供的服務,包括法律合規、技術開發、金融諮詢、資產發行與託管、數據分析等。
2. 項目發行與匹配平台: 提供平台供資產發行方發布項目需求,認證服務商發布服務套餐,並利用智能算法為項目需求匹配推薦最優服務商組合。
第七條(會員與社群層 – Membership & Community Layer)
本層為聯盟之基礎,由全體會員構成。
1. 會員結構: 詳見第八章。
2. 社群運營: 鼓勵會員自發組建工作組,圍繞特定主題(如房地產代幣化、監管合規)進行協作,產出成果。聯盟定期組織線上論壇、線下峰會、閉門研討會等活動,促進會員交流與合作。
第三章:金融、服務與平台運作
第八條(平台運作模式)
聯盟通過核心平台層產出的標準、認證與研究報告為生態服務層的市場交易提供底層支持與信任背書。服務交易在會員之間直接進行,聯盟不對會員提供的服務質量承擔擔保責任。
第九條(價值賦能服務)
為促進生態繁榮,聯盟秘書處可協調資源,向會員提供以下賦能服務:
1. 項目輔導: 為優質項目提供合規、技術及商業模型設計的諮詢與輔導。
2. 流動性支持對接: 利用聯盟網絡,為項目方對接專業的做市商與流動性解決方案。
3. 投資者關係服務: 協助項目方建立基於區塊鏈的信息披露門戶,並對接潛在投資者群體。
4. 活動推廣: 為會員的優質項目和解決方案提供活動展示機會。
第四章:會員
第十條(會員類別與權益)
- 基本會員 (General Member):對數字經濟領域有興趣、希望瞭解行業動態、獲取基礎資源並初步建立網絡的機構與個人. 獲取公開行業報告、參與公開論壇及基礎網絡活動之權益。
2. 生態核心會員 (EcoCore Member) :
整個商業與技術生態系統的參與者,包括服務商、專業人士、企業和投資者。是聯盟的核心與中堅力量,享有最高級別的權益和訪問權限。面向對象金融專業者、金融與科技企業、專業投資機構、高淨值投資者、產業決策者、服務提供商及技術公司。旨在為生態系統核心參與者提供深度洞察、項目機會、頂級網絡與商務合作。
3. 理事委員(Council Member):極具行業影響力、致力於塑造數字經濟未來的頂級機構與個人領袖,是聯盟的戰略制定與治理核心。擁有理事會投票權、制定聯盟戰略、發起並領導工作組、代表聯盟進行監管對話之權益。
第十一條(會員義務)
所有會員應遵守聯盟章程、維護聯盟聲譽、積極參與生態建設、按時繳納對應級別的會費,並保證其向聯盟提供信息的真實性與合規性。
第五章:財務管理
第十二條(資金來源)
聯盟運作資金來源於:
1. 會員會費(按級別收取)
2. 創始及戰略會員的捐贈與贊助
3. 研究報告銷售與定制諮詢服務收入
4. 會議與活動贊助
5. 其他合法收入
第十三條(聯盟資質)
本聯盟為博士智庫研究院有限公司(香港註冊非盈利機構)成立的數字經濟部門, 擁有本聯盟最終決策權.

Chapter 1: General Provisions
Article 1 (Name and Nature)
The Chinese name of this organization is “博士智庫數字經濟生態聯盟” .
This alliance is a global, member-driven platform organization aiming to promote the development of the digital economy through collaboration and standardization.
Article 2 (Purpose and Mission)
The purpose of this alliance is to gather top global intelligence to build a safe, efficient, transparent, and inclusive global digial economy ecosystem. Acting as a connector, enabler, and standards setter, it provides members with a stage, tools, and rules to deliver services more efficiently and compliantly, create value, ultimately unlock the tremendous potential of the digital economy, and promote innovation and inclusive finance in the global economy.
Article 3 (Core Principles)
1. Openness and Collaboration: Welcoming qualified diverse participants globally.
2. Fairness and Justice: Maintaining fairness and justice towards members.
3. Compliance First: Actively promoting compliance frameworks and implementations.
4. Member-Driven: The alliance’s development direction and focus are driven jointly by members.
5. Knowledge Sharing: Publishing core research results, standard frameworks, essential information, and technology transfers to foster ecosystem prosperity.

Chapter 2: Organizational Structure and Responsibilities
The alliance adopts a four-layer model to achieve effective governance and ecosystem empowerment.
Article 4 (Governance Layer)
This layer is the decision-making and supervisory body of the alliance.
1. The ultimate decision-making authority of the alliance lies with the Board of Directors of the Doctors Think Tank Academy Limited (nonprofit organization), responsible for amending the charter and deciding major issues.
2. Alliance Council:
Composed of founding members, academic leaders, independent experts, and member representatives, responsible for formulating development strategies, approving budgets, and supervising the Secretariat’s work, subject to review and approval by the Doctors Think Tank Academy Limited Board.
3. Advisory Committees:
Subcommittees for “Compliance and Regulation,” “Technical Standards,” and “Financial Markets,” composed of top global experts providing professional consultation and representing the alliance in dialogues with global regulatory bodies.
4. Secretariat:
The standing executive body responsible for daily administration, financial management, member services, meeting organization, external communication, and implementation of council resolutions.
Article 5 (Core Platform Layer)
This layer empowers members by producing public goods and establishing trust systems.
1. Think Tank :
Responsible for producing white papers, industry reports, technical standard frameworks (smart contract security standards, data interface standards), best practice compliance guides, and standardized valuation model libraries for different ditigal economy asset categories.
2. Certification and Standardization Center:
Responsible for establishing and managing member qualification certification systems, technical and compliance solution certifications, and providing standardized project due diligence frameworks to reduce ecosystem trust costs.
Article 6 (Ecosystem Services Layer)
This layer provides services to members and a marketplace for services rendered, with the alliance building the framework and members conducting specific transactions autonomously.
1. Service Provider Directory:
Establishes and maintains an online directory of alliance-certified members offering services such as legal compliance, technical development, financial consulting, asset issuance and custody, data analysis, etc.
2. Project Issuance and Matching Platform:
Provides a platform for asset issuers to publish project demands and certified service providers to publish service packages, using intelligent algorithms to recommend optimal service provider combinations that match project needs.
Article 7 (Membership and Community Layer)
This layer forms the foundation of the alliance, composed of all members.
1. Membership Structure: See Chapter 4.
2. Community Operations:
Encourages members to form working groups around specific topics (e.g., real estate tokenization, regulatory compliance) to collaborate and produce results. The alliance organizes regular online forums, offline summits, closed-door seminars, and other events to promote member exchange and cooperation.

Chapter 3: Finance, Services, and Platform Operations
Article 8 (Platform Operation Mode)
The standards, certifications, and research reports produced by the Core Platform Layer provide foundational support and trust endorsement for market transactions in the Ecosystem Services Layer. Service transactions occur directly between members; the alliance does not guarantee the quality of member-provided services.
Article 9 (Value Empowerment Services)
To promote ecosystem prosperity, the Secretariat may coordinate resources to provide the following empowerment services to members:
1. Project Guidance: Consulting and guidance on compliance, technology, and business model design for quality projects.
2. Liquidity Support Matching:
Using the alliance network to connect projects with professional market makers and liquidity solutions.
3. Investor Relations Services:
Assisting projects in establishing blockchain-based information disclosure portals and connecting potential investor groups.
4. Event Promotion:
Providing opportunities to showcase members’ quality projects and solutions at events.

Chapter 4: Membership
Article 10 (Membership Categories and Rights)
1. General Member:
Institutions and individuals interested in the digital economy field who want to understand industry trends, access basic resources, and initially build networks. Rights include access to public industry reports, participation in public forums, and basic networking activities.
2. EcoCore Member:
Participants in the entire commercial and technical ecosystem, including service providers, professionals, enterprises, and investors. The core and backbone of the alliance, enjoying the highest level of rights and access. Targeted at financial professionals, financial and technology companies, professional investment institutions, high-net-worth investors, industry decision-makers, service providers, and tech firms. Provides deep insights, project opportunities, top-tier networks, and business collaborations.
3. Council Member:
Highly influential institutions and individual leaders committed to shaping the future of RWA. They form the strategic and governance core of the alliance. Possess voting rights in the council, rights to formulate alliance strategies, initiate and lead working groups, and represent the alliance in regulatory dialogues.
Article 11 (Member Obligations)
All members shall comply with the alliance charter, maintain the alliance’s reputation, actively participate in ecosystem construction, pay membership fees on time according to their level, and ensure the authenticity and compliance of information provided to the alliance.
Chapter 5: Financial Management
Article 12 (Funding Sources)
The alliance’s operating funds come from:
1. Membership fees (collected by level)
2. Donations and sponsorships from founding and strategic members
3. Sales of research reports and customized consulting services
4. Sponsorships of conferences and events
5. Other lawful income
Article 13 (Alliance Qualification)
This alliance is a department of the Doctors Think Tank Academy (a Hong Kong-registered non-profit organization), which holds the alliance’s ultimate decision-making authority.
