博士智庫數字經濟生態聯盟 (英文名稱:DIGITAL ECONOMY ECOSYSTEM ALLIANCE- Doctors Think Tank,簡稱“DEEA-DTT”)

前言

歡迎您申請成為博士智庫數字經濟生態聯盟(以下簡稱「本聯盟」或「DEEA」)的會員。本條款與條件(以下簡稱「本條款」)旨在明確本聯盟與所有會員之間的權利、義務和責任。請在提交申請前仔細閱讀本條款。一經提交會員申請及/或繳交會費,即表示您已充分閱讀、瞭解並同意無條件接受本條款的所有約束。

第一條:會員資格

1.1 申請者須為從事或對數字經濟生態相關領域有濃厚興趣的合法註冊之法人、機構或年滿18歲的個人。

1.2 會員資格申請須經本聯盟秘書處審核通過後方可生效。本聯盟保留拒絕任何申請而無須說明理由的權利。

1.3 會員資格不可轉讓。

第二條:會員類別與權益

2.1 本聯盟設以下會員類別,其對應權益以《博士智庫數字經濟生態聯盟章程》(以下簡稱《章程》)第四章第十條及本聯盟不時更新的官方說明為準:·

– 基本會員 (General Member): 享有取得公開產業報告、參與公開論壇及基礎網路活動之權益。·

– 生態核心會員 (EcoCore Member): 享有深度產業洞察、專案機會、頂級網路、商務合作連結及參與閉門活動等核心權益。·

– 理事委員 (Council Member): 享有參與聯盟策略制定、理事會投票、發起工作小組及代表聯盟進行監管對話等最高層級權益。

2.2 本聯盟保留因應發展需要調整會員權益及新增會員類別的權利,並將透過官方管道提前通知。

第三條:會員義務

會員須同意並遵守以下義務:

3.1 遵守規則: 嚴格遵守本聯盟《章程》、本條款及所有已發布的行為準則與政策。

3.2 誠信提供資訊: 確保提供給本聯盟的所有資訊和資料真實、準確、完整且不過時。

3.3 維護聲譽: 不得從事任何有損本聯盟聲譽、利益或其他會員權益的活動。

3.4 合規經營: 承諾其業務及透過本聯盟平台進行的所有活動均符合其所在地及活動發生地的法律法規。

3.5 按時繳費: 依所選會員類別,按時全額繳納年度會費。

3.6 保密義務: 對透過會員身分取得的未公開的、保密的資訊(如閉門會議內容、未公開研究報告、其他會員的非公開資訊等)負有保密責任。

第四條:會費與支付

4.1 會員須依本聯盟公佈的費率標準繳交年費。會費金額可能因會員類別而異。

4.2 會費週期為自然年,須在到期日前完成續費,以確保會員權益不間斷。

4.3 除非法律另有規定,已支付之會費概不退還。

第五條:智慧財產權

5.1 本聯盟提供的所有研究報告、白皮書、標準架構、軟體工具、品牌識別等(以下簡稱「聯盟資料」)的智慧財產權均歸本聯盟及/或相關權利人所有。

5.2 會員可依會員類別授予的權限,合理使用聯盟資料用於自身內部業務參考,但不得未經本聯盟事先書面許可,對聯盟資料進行修改、複製、散佈、出租、出售、授權或用於任何商業目的。

第六條:免責聲明與責任限制

6.1 非擔保責任: 本聯盟作為平台,僅提供資訊與對接服務。會員之間或與第三方發生的任何交易、合作均由其雙方自行負責。本聯盟不對任何會員提供的服務、產品或資訊的準確性、真實性、合法性作出任何明示或默示的擔保或保證。

6.2 風險自擔: 會員參與本聯盟任何活動及與其他會員的交易均屬自願行為,須自行判斷相關風險並承擔由此產生的一切後果。

6.3 責任上限: 在任何情況下,本聯盟及其關聯機構對會員所承擔的累計賠償責任總額,以該會員當期年度會費金額為上限。

第七條:會員資格的暫停與終止

7.1 會員可隨時以書面通知秘書處申請退會。

7.2 若會員發生以下情況,本聯盟有權立即暫停或終止其會員資格,且無須退還已繳交會費:

* (a) 嚴重違反本條款或《章程》;

* (b) 從事違法行為或嚴重不道德行為,損害本聯盟聲譽;

* (c) 未按時繳交會費,催告後仍未繳費;

* (d) 提供虛假或誤導性資訊。

7.3 會員資格終止後,該會員將不再享有任何會員權益,但仍須遵守其保密義務。

第八條:隱私權政策

8.1 本聯盟將根據《隱私權政策》處理並保護會員的個人資訊。 《隱私權政策》構成本條款的一部分。

第九條:條款的修改

9.1 本聯盟有權不時修訂本條款。修改後的條款將在本聯盟官方網站公佈後生效。會員若繼續保留會籍,即視為接受修訂後的條款。

第十條:管轄法律與爭議解決

10.1 本條款受中華人民共和國香港特別行政區法律管轄並依其解釋。

10.2 因本條款引起的或與之相關的任何爭議,應先透過友好協商解決。若協商不成,任何一方均可將爭議提交香港國際仲裁中心(HKIAC)並依其當時有效的仲裁規則進行仲裁。

第十一條:完整協議

11.1 本條款與《章程》共同構成會員與本聯盟之間的完整協議,並取代所有先前的口頭或書面通信和理解。

Preface

Welcome to apply for membership of the DIGITAL ECONOMY ECOSYSTEM ALLIANCE- Doctors Think Tank,(DEEA-DTT). These Terms and Conditions (hereinafter “Terms”) clarify the rights, obligations, and responsibilities between the Alliance and all members. Please read carefully before submitting your application. By submitting your membership application and/or paying membership fees, you acknowledge that you have fully read, understood, and unconditionally accepted all the provisions of these Terms.

Article 1: Membership Eligibility

1.1 Applicants must be legally registered entities, organizations, or individuals aged 18 or above who are engaged in or have a strong interest in the digital economy.

1.2 Membership applications must be reviewed and approved by the Alliance Secretariat before taking effect. The Alliance reserves the right to reject any application without providing reasons.

1.3 Membership is non-transferable.

Article 2: Membership Categories and Rights

2.1 The Alliance has the following membership categories, with corresponding rights subject to Chapter 4, Article 10 of the “DIGITAL ECONOMY ECOSYSTEM ALLIANCE- Doctors Think Tank Charter” (hereinafter “the Charter”) and official updates issued by the Alliance from time to time:

General Member:

Entitled to access public industry reports, participate in public forums, and basic networking activities.

EcoCore Member:

Entitled to in-depth industry insights, project opportunities, top-tier networks, business collaboration links, and participation in closed-door events and other core rights.

Council Member:

Entitled to participate in alliance strategy formulation, council voting, initiating working groups, and representing the alliance in regulatory dialogues, enjoying the highest level of rights.

2.2 The Alliance reserves the right to adjust member rights and add new membership categories as needed for development, with prior notice via official channels.

Article 3: Member Obligations

Members agree to comply with the following obligations:

3.1 Comply with Rules: Strictly abide by the Alliance Charter, these Terms, and all published codes of conduct and policies.

3.2 Provide Honest Information: Ensure all information and materials provided to the Alliance are truthful, accurate, complete, and up to date.

3.3 Maintain Reputation: Refrain from any activity that may damage the reputation or interests of the Alliance, or other members.

3.4 Operate in Compliance: Commit that all their business and activities conducted through the Alliance platform comply with applicable laws and regulations where they operate.

3.5 Pay Fees on Time: Pay annual membership fees in full and on time according to their membership category.

3.6 Confidentiality Obligations: Maintain the confidentiality of any non-public, confidential information obtained through membership (such as closed-door meeting contents, unpublished research reports, and non-public information of other members).

Article 4: Membership Fees and Payment

4.1 Members must pay annual fees according to the rates published by the Alliance. Fees may vary by membership category.

4.2 The membership fee cycle is by calendar year, and renewal must be completed before expiry to ensure uninterrupted membership benefits.

4.3 Membership fees paid are non-refundable unless otherwise required by law.

Article 5: Intellectual Property Rights

5.1 All intellectual property rights of materials provided by the Alliance, including research reports, white papers, standard frameworks, software tools, brand identities, etc. (hereinafter “Alliance Materials”), belong to the Alliance and/or relevant rights holders.

5.2 Members may reasonably use Alliance Materials internally according to their membership rights but may not modify, copy, distribute, rent, sell, license, or use them for any commercial purposes without prior written consent from the Alliance.

Article 6: Disclaimer and Limitation of Liability

6.1 No Warranty: The Alliance, as a platform, only provides information and connection services. Any transactions or cooperation between members or with third parties are solely the responsibility of the parties involved. The Alliance makes no express or implied warranties or guarantees regarding the accuracy, truthfulness, or legality of services, products, or information provided by any member.

6.2 Assumption of Risk: Participation in any Alliance activities and transactions with other members is voluntary. Members must assess risks themselves and bear all consequences arising therefrom.

6.3 Liability Cap: Under no circumstances shall the Alliance and its affiliates be liable for cumulative damages exceeding the amount of the member’s annual membership fee for the current year.

Article 7: Suspension and Termination of Membership

7.1 Members may apply for withdrawal from membership at any time by written notice to the Secretariat.

7.2 The Alliance may immediately suspend or terminate membership without refund of fees in the following cases:

(a) Serious violation of these Terms or the Charter;

(b) Illegal or seriously unethical conduct damaging the Alliance’s reputation;

(c) Failure to pay membership fees on time after a reminder;

(d) Providing false or misleading information.

7.3 After termination, the member loses all membership rights but remains bound by confidentiality obligations.

Article 8: Privacy Policy

8.1 The Alliance will handle and protect members’ personal information according to the Privacy Policy, which forms part of these Terms.

Article 9: Amendments to Terms

9.1 The Alliance reserves the right to amend these Terms from time to time. Amendments take effect upon publication on the official website. Continuing membership after amendments constitutes acceptance of the revised Terms.

Article 10: Governing Law and Dispute Resolution

10.1 These Terms are governed by and construed under the laws of the Hong Kong Special Administrative Region of the People’s Republic of China.

10.2 Any disputes arising from or related to these Terms shall first be resolved through friendly negotiation. If negotiation fails, either party may submit the dispute to the Hong Kong International Arbitration Centre (HKIAC) for arbitration under its then-effective arbitration rules.

Article 11: Entire Agreement

11.1 These Terms and the Charter together constitute the complete agreement between the members and the Alliance and supersede all prior oral or written communications and understandings.
